Profusa obtained the right, but not the obligation, to acquire all of G3 Vision Labs. G3 owns the target diagnostic businesses Med Screen Laboratories, Dominion Diagnostics, and Acutis Diagnostics. The July 31, 2026 agreement is therefore an option framework rather than a completed acquisition.
Conditions come before ownership
Profusa cannot exercise the option unless several conditions are met. These include at least $30 million of completed financing or binding commitments, treatment of G3 debt, stockholder approvals, continued Nasdaq listing, release of seller guarantees, and execution of definitive acquisition documents.
The option grant itself involved 201,120 common shares and 52,903.566 Series A preferred shares. If exercised, sellers would receive another 53,918.113 preferred shares. Each preferred share can convert into 1,000 common shares after stockholder approval, creating substantial potential dilution. If the option is never exercised, G3 stockholders retain the option-grant consideration.
Reverse split context
Separately, Profusa implemented a one-for-four reverse split effective August 17, 2026. Outstanding common shares were expected to fall from about 2.42 million to about 605,726, while authorized shares remained 601 million. A reverse split changes per-share arithmetic; it does not by itself improve enterprise value or operating performance.
What to verify next
The decisive evidence will be financing, audited target financials, stockholder approvals, definitive acquisition documents, Nasdaq compliance, and a closing notice. Until then, the target companies should not be presented as Profusa subsidiaries.
