KRAQ: Reading a Pre-Deal SPAC Through Its Trust Account and Deadline

KRAK Acquisition Corp is a blank-check company without an operating business. As of June 30, 2026, it had not announced or completed a business combination. A trading-volume spike alone therefore does not establish a change in business value.

What the balance sheet represents

The company held $349.9 million of marketable securities in its trust account and $746,553 of cash outside the trust for working capital. The January 2026 IPO placed $345 million into the trust, initially corresponding to at least $10.00 per public share. Public shareholders generally receive redemption rights in connection with a proposed combination or extension.

The filing also records $10.35 million of deferred underwriting fees and describes another $10.35 million advisory fee payable upon a completed initial combination. These conditional transaction costs matter when assessing the economics of a future deal.

Deadline and risk

KRAQ must complete a qualifying combination by January 29, 2028 or face mandatory liquidation and dissolution, unless the applicable terms are changed. No target, valuation, financing structure, or post-deal ownership can be analyzed until a definitive agreement is filed.

The useful follow-up evidence is a signed merger agreement, target financial statements, redemption terms, financing, sponsor incentives, and dilution from warrants. The earlier automated article’s volume signal, generic peer list, macro overlay, and mechanical trade levels were removed.
